MyMusicMasterclass.com is an Internet service (the “Site”) owned and operated by My Music Masterclass, Inc. (“MMMC”). “User”, “you”, or “your” means an adult, age 18 or over, who is a user of the Site for itself, or a parent or guardian of a minor who you allow to access the Site. Your use of the Site indicates that you agree to these Terms of Service and to be bound by them (“Agreement”). If you do not agree with the terms of this Agreement, then do not use the Site.
I. User Account.
a. When the User signs up with an account on the Site, it will be asked to provide information like a unique user name and password, e-mail address, and name. It is the User’s responsibility to keep its password and login information confidential. Failure to keep this information private is a breach of this Agreement and may result in immediate termination of your account and may result in legal action for injunction, damages, or both.
b. MMMC reserves the right to refuse any User registration to the Site and/or to terminate any User’s account for any reason, without notice to User.
c. Any financial information provided by you to pay for streams or downloads of the Content are provided to a third party and are subject to that third party’s privacy policies and terms of service.
II. Ownership and Limited License.
a. MMMC owns all videos, images, and written content featured on the Site (“Content”). MMMC grants you a non-transferable, non-exclusive license to view the Content solely for personal use by you, only with one central processing unit at any one time. You cannot rent, sell, lease, assign, sublicense, market, modify, make derivative works of, reproduce, distribute, display, publish, copy, reverse engineer, translate, disclose, transfer, upload, post, or make any other use of the Content.
b. The MMMC name, url, logos, images and design and layout of the Site (“Property”) are owned by MMMC under copyright, trademark, trade dress and other laws. All Property, copyrights, trademarks, other intellectual property, and trade secrets of MMMC, whether or not displayed on the Site, may not be copied, imitated, or used in whole or in part in any manner without the express and prior written permission of MMMC.
c. You also may not remove any copyright or ownership information from the Content or Property.
d. Any violation of this Agreement may result in immediate termination of your account and may result in legal action for injunction, damages, or both.
III. No Refunds.
a. No refunds will be given for the payment to stream or download the video portions of the Content unless there is a technical problem with the video components of the Content itself (not including problems with the User’s computer or error of the User) that impairs the streaming, downloading, or proper viewing of the video components of the Content. IV. Limit of Liability.
a. The information, products, services, and Content of MMMC and the Site may include inaccuracies or typographical errors. Changes are periodically made to the information herein. MMMC and its affiliates and third party suppliers provide all content on the Site “as is” and without any warranty of any kind. MMMC and its affiliates and third party suppliers make no representations concerning the suitability, reliability, functionality, or accuracy of the Content or the service provided by the Site for any purpose. MMMC and its affiliates and third party suppliers disclaim all warranties, expressed or implied, in connection with the Content and the services provided on the Site, including conditions of merchantability, fitness for a particular purpose, title, and non-infringement. In no case will MMMC or its affiliates and third party suppliers be liable for any direct, indirect, punitive, special, or other damages including, without limitation, lost or delay of use, lost profits, loss of data or any other damage in contract, tort, equity, or any other legal theory, even if advised of the possibility thereof.
b. MMMC may, from time to time, provide opportunities to Users of the Site to link to or buy services from third parties. Websites from those third parties will be subject to terms and conditions different from those found here. MMMC makes no warranty concerning third party goods or services, and you agree that any recourse for dissatisfaction or problems with those services will be sought from the third party provider and not from MMMC.
V. Miscellaneous.
a. MMMC reserves the right to discontinue or modify any of the information contained on this server at any time. MMMC shall have the right to modify the terms and conditions of this Agreement at any time without notice to User and said changes will be effective upon posting. The User may not assign any part of this Agreement without MMMC’s prior written consent. MMMC may assign this Agreement at any time without notice to User. This Agreement shall be governed by the laws of California, exclusive of conflicts of laws principles. The User shall pay any taxes on the information or transactions. If any provision of this Agreement is declared invalid or unenforceable, the remaining provisions of this Agreement shall remain in effect. The User agrees to comply with all applicable laws in using this service or the information contained herein. No waiver of any obligation or right of MMMC shall be effective unless in writing, executed by MMMC against whom it is being enforced. Any such waiver shall not preclude MMMC from exercising any other right or later exercising the same right. This Agreement sets forth the entire understanding between MMMC and you and replaces all prior agreements, arrangements and understandings.
